Constitution and Bylaws

 

 

Article I - Name / Purpose

 

Section 1.  The name of this organization shall be Pine Knolls Men's Golf Association,

(PKMGA) and said organization shall be affiliated with the Carolinas Golf Association.

 

Section 2.  This organization shall be non-political, non-profit and non-sectarian in all its activities. The purpose of this organization shall be to promote good sportsmanship,

fair handicaps, tournaments within and matches with other clubs. Emphasis shall be placed on good fellowship among its members in all its business, social and recreational activities.

 

Section 3.  This organization shall hold all meetings as stated herein at Pine Knolls Golf Club unless otherwise designated by the Board.

 

Section 4.  This organization shall try to maintain an informative public media outlet via the World Wide Web. The domain name/web site address for this organization shall be www.pkgolfassociations.com.

 

 

 

Article II - Membership

 

Section 1.  Membership shall be open to any male golfer of amateur status, with good character and repute, that is at least eighteen (18) years of age or older. Amateur status shall be defined by the USGA - Rules of Amateur Status. The only exception in regards to amateur status shall be Membership Type C. Course Staff as declared within the Bylaws.

 

Section 2.  The type of membership shall consist of one (1) of the following:

 

A. Active:  An active member in good standing shall be entitled to all privileges of this organization. He shall have a voice in all matters pertaining to the government of this organization as stated herein and shall be eligible to hold any office.

 

B. Honorary:  Definition - A member that has demonstrated strong leadership abilities, excellent character and good sportsmanship. He also must have taken an active roll in various organization functions and served in a number of official positions over a minimum of ten (10) years. An honorary member shall be entitled to all privileges, the same as an active member, but shall not be accessed annual payment of dues.

 

Procedure to nominate - Any active member may nominate another active member for honorary membership. He must submit in writing a resume of the candidate to the Board. The Board shall review the candidate's resume at two (2) separate meetings. The Board shall then conduct a vote by secret ballot and the candidate must receive at least eight (8) of ten (10) votes from the Board to become an honorary member.

 

C. Course Staff:  The current Owners, Course Superintendent & the General Manager shall be entitled to all privileges, the same as an active member, but shall not be accessed annual payment of dues.

 

D. Officers:  The acting President, Treasurer, and current Webmaster shall be entitled to all privileges, the same as an active member, but shall not be accessed annual payment of dues.

 

Section 3.  The total membership of this organization shall be limited to two hundred and fifty (250) active members. This limit may be increased at the discretion of the Board.

 

Section 4.  Should a death occur of an active member or an active member's immediate family, (wife or child) an arrangement of flowers shall be sent to the family on behalf of this organization. A card shall be sent in the case of a brother or sister.

 

Section 5.  Any active member whose conduct becomes detrimental to the best interest of this organization, as determined by a majority vote of the Board, may be suspended or expelled. The Board shall notify such member of his charges and afford him the opportunity to state his defense before any action shall be taken. Such notification shall be made in writing.

 

Section 6.  Any member that has been expelled for misconduct may petition the Board for re-instatement. The Board may investigate the conditions of him being expelled and by a majority vote may choose to re-instate him. If the expelled member is re-instated, he shall be accessed the appropriate annual dues. (See Article III, Section 1)

 

Section 7.  Posting of scores - All members shall be required to post all their scores (home and away) into the handicap computer unless otherwise stated herein. Failure to do so could result in a penalty score being posted as deemed necessary by the handicap committee. Each member posting a score shall be responsible for the following:

    1.  All scorecards shall include the date their round was played, along with their

          golfer/member number.

    2.  Adjusting the maximum score on any hole based on their current handicap, also

          known as equitable stroke control. (See chart in computer room)

    3.  Placing the scorecard in the appropriate box in the computer room.

 

 

 

Article III - Membership Dues 

 

Section 1.  Dues paid between January 1st & August 31st shall be $65.00. Dues paid after August 31st shall be $125.00 and this will include membership for the following year.

 

Section 2.  Dues are payable annually and the due date is January 1st. Should this obligation not be satisfied, he shall be temporarily removed from membership as of February 15th or before the February tournament if it occurs before the 15th.

 

 

 

Article IV - Officers

 

Section 1.  The Officers of this organization shall consist of a President, Vice- President, Secretary, Treasurer, Sergeant at Arms and five (5) Directors. The outgoing President may automatically serve at his option as a fifth (5th) Director for a period of one (1) year.

 

Section 2.  Officers and Directors shall be nominated and elected annually at the November meeting but shall not take official office until the first (1st) meeting in January.

 

Section 3.  Selection of Officers - The nominating committee shall consist of the Board of Directors. It shall submit a proposed slate of Officers to the membership at the November meeting. The slate shall consist of a President, Vice-President, Secretary, Treasurer, Sergeant at Arms and five (5) Directors. The past President may serve as a fifth (5th) Director. (See Article IV, Section 1)  If those present do not submit additional candidates then the proposed slate shall be elected.

 

Section 4.  All Officers and Directors shall form the Board of Directors.

 

Section 5.  Any Officer or Director may succeed himself in office with one (1) exception. The President may serve two (2) consecutive terms only. A past President may run for re-election after sitting out for at least one (1) year.

 

Section 6.  In the event of a vacancy in any office, occurring more than one (1) month before the annual election of Officers, the Board shall fill that vacancy for the remainder of that term.

 

 

 

Article V - Duties of the Officers

 

President:  He shall preside at all meetings of the general membership and the Board. He shall appoint all committees necessary for the operation of this organization. If from time to time he's unable to fulfill these duties he shall delegate them to the Vice-President.

 

Vice-President:  In the absence of the President, he shall exercise all the duties of the President and shall be vested with all presidential powers.

 

Secretary:  He shall send all correspondence as directed by the President. He shall have charge of all papers, keep all records and take minutes of all meetings of the general membership and the Board.

 

Treasurer:  He shall have charge of the funds of this organization and conduct all banking business. The President and/or Treasurer shall sign all checks. The Treasurer is to submit two (2) reports monthly as follows:

    1.  A detailed report of all transactions shall be made to the President.

    2.  A brief summary report shall be made at general membership meetings.

 

Sergeant at Arms:  He shall have charge of maintaining order at the President's direction and shall see that all meetings are conducted accordingly under the "Roberts Rules of Order" and shall assure that the Constitution and Bylaws are followed.

 

Board of Directors:  It shall have charge of the general management of this organization. It shall hear all grievances, authorize all expenditures and approve all appointments. Its primary function is to act as a legislative body. It approves the annual budget, reviews all new plans and proposed activities. It takes action in accordance with the majority views and reports only to the active membership, all Officers and any appointed committees.

 

 

 

Article VI - Meetings / Quorum

 

Section 1.  General membership meetings shall be held the first Tuesday of each month (January through November) at 7:00 p.m. unless otherwise notified.

 

Section 2.  The Board may call a special meeting at any time. The Board must notify the general membership fifteen (15) days in advance of said meeting by notice on the golf clubs bulletin board and/or by other public media outlets.

 

Section 3.  Voting power shall be vested solely in the members who are in good standing except for those matters that shall be decided by the Board as stated herein. Only active members shall be eligible to vote.

 

Section 4.  All voting at any meeting shall be either a show of hands or by secret ballot. Upon the request of a member present, in the form of a motion, with the majority in favor, a vote can be by secret ballot. A majority or unanimous vote shall be sufficient to carry any motion or resolution.

 

Section 5.  Any three (3) Officers and the majority of the members present constitute a quorum. A quorum is required for the purpose of conducting business at either a monthly meeting or any special meeting, as called for by the Board. A quorum for the Board shall be any three (3) Officers and two (2) other members of the Board. A majority or unanimous vote by a quorum is the same as a majority or unanimous vote by the Board.

 

Section 6.  Any active member or Officer may vote by proxy on major issues if the member is duly notified of the issue at hand and the vote is in the handwriting of the member voting.

 

 

 

Article VII - Gold Tees

 

Section 1.  Any member age sixty (60) or older can apply to play from the gold tees at any time.  The member’s application will then be reviewed by the Gold Tee Committee.  Before approval, the Committee shall review the member’s last ten (10) tournament scores and any physical handicaps.  Members shall be notified in writing if the have been approved or denied to play from the gold tees.

 

Section 2.  Once a member has been approved to play from the gold tees, he must remain on said tees for all sanctioned events in order to maintain a more accurate handicap, unless the member’s USGA index falls below (10.0). If this should occur, the member shall be re-reviewed and is subject to be returned to the white tees.  A list of the members that have been approved to play from the gold tees shall be posted in the computer room.

 

Section 3.  There shall be an adjustment to a gold tee player’s handicap when players are playing from different sets of tees during sanctioned events. Their current home gold tee handicap shall be adjusted by subtracting four  (-4) strokes. This adjustment is per the USGA guidelines.

 

 

 

Article VIII - Gangsome Rules

 

Section 1.  The sign-up deadline for a Saturday gangsome is 5:00 p.m. on the Thursday before. If not signed up by Thursday, you may not be able to participate due to the availability of tee times as dictated by the golf club.

 

Section 2.  Members only Exceptions - A former member on a casual visit and a prospective member or out of town guest shall be allowed to participate a maximum of two (2) times annually.

 

Section 3.  The gangsome committee shall be responsible for the format of play, team pairings and shall govern all aspects of play for each date the gangsome is played.

 

Section 4.  There shall be a betting limit of $10.00 total for each player, with $8.00 going to the overall pot and $2.00 going to close ups for each gangsome played. Payouts shall be decided by the gangsome committee.

 

Section 5.  The gangsome captain, as chosen by his foursome or group shall be responsible for the following:

    1.  Keeping the correct scores of his group.

    2.  Collecting and turning in the monies from his group.

    3.  Adjusting each player's maximum score on any hole based on their current

          handicap, also known as equitable stroke control. (See chart in computer room)

    4.  Posting each players score.

 

Section 6.  All play shall be from the white tees with the exception of the gold tee qualifiers. (See article VII, Section 1)

 

 

 

Article IV - Tournament Rules

 

Section 1.  A member shall have a minimum of five (5) Pine Knolls scores posted in the handicap computer before he's allowed to play in any tournament with one exception, a new member that has a verifiable handicap from another club. To protect our organization, the tournament and handicap committees shall be responsible for verifying the handicap of a new member who does not have the said amount of scores posted.

 

Section 2.  Tournament participants must be a member of (PKMGA) with the exception of the Member-Guest tournament.

 

Section 3.  All tournaments shall be governed by the USGA rules of golf, with the exception of local and/or tournament committee rules.

 

Section 4.  The tournament committee shall determine the pairings for all tournaments.

 

Section 5.  All monies for flights within a tournament shall be distributed in equal amounts to each flight except for those awards presented to the Club Champion and the Handicap Champion.

 

Section 6.  There shall be four (4) major, two (2) day tournaments each year. Plaques shall be maintained with the winners posted in the tournament room of the golf club for recognition and recording. The four (4) majors are as follows:

    1.  Spring Member-Member

    2.  Handicap Championship

    3.  Club Championship

    4.  Fall Member-Member

 

Section 7.  Gold tee qualifiers shall be eligible to play from said tees in all tournaments with the exception of the Handicap Championship and the Club Championship.

 

Section 8.  The appropriate committees shall be responsible for posting tournament scores into the handicap computer. This shall be done to assure the proper scores are entered and to relieve the participants of this obligation.

 

Section 9.  The first offense of no show or withdrawal after the sign-up deadline without the approval of the tournament committee shall result in a member in violation. A member in violation shall have to pay the entry fee of that tournament and shall be forbidden to play in any future tournaments until that entry fee is paid. A second offense shall result in the above penalty, plus a two (2) tournament suspension. The Board shall notify in writing any member in violation.

 

 

 

Article X - Ownership of Assets

 

Section 1.  All property of this organization shall be owned jointly. Each member, who has been a member in good standing for the period of one (1) year, shall have an equal share. In the event of dissolution, by a majority vote of the membership, all property owned by this organization shall be disposed of by auction, except any article or piece of property loaned by an individual member, which may be claimed by that member. The then acting President shall conduct the sale. The then acting Treasurer shall take all the proceeds, together with all monies left in the treasury, after settlement of all organization obligations and divide equally among the members who qualify as having been in good standing for the past one (1) year.

 

 

 

Article XI - Bylaws / Amendments

 

Section 1.  The Board shall adopt the appropriate Bylaws for the government and orderly control of this organization. These Bylaws may be amended or repealed at any time as recommended by the Board, by a majority vote of the members present at a general membership meeting.
